MY KAI AFFILIATE PROGRAM - TERMS & CONDITIONS

1. ACCEPTANCE OF TERMS

By registering for the My Kai Affiliate Program, you agree to these terms and conditions. We reserve the right to modify these terms at any time.

2. PROGRAM OVERVIEW

The My Kai Affiliate Program allows approved content creators to earn commissions by promoting the My Kai meal planning app to their audience.

3. COMMISSION STRUCTURE

Commission rates and payment terms are outlined in your individual Affiliate Agreement upon approval. Commission structure may vary based on performance tier and agreement terms.

4. PAYMENT TERMS

• Commissions are held for 30 days before approval (fraud prevention and refund period)
• Payments processed monthly via PayPal, bank transfer, or check
• Minimum payout threshold: $50
• You are responsible for all applicable taxes on commission earnings
• US-based affiliates earning $600+ annually will receive 1099-NEC forms
• No invoice required unless specifically requested by affiliate

5. AFFILIATE RESPONSIBILITIES

You agree to:

• Promote My Kai honestly and accurately
• Comply with FTC guidelines requiring disclosure of affiliate relationships
• Use approved marketing materials or create original content
• Not engage in spam, misleading advertising, or fraudulent activities
• Not bid on My Kai brand terms in paid search advertising
• Disclose your affiliate relationship clearly (e.g., "I earn commission from this link")

Lifetime Commissions: To continue earning recurring commissions on existing subscribers, you must maintain active promotion by posting at least 4 unique pieces of My Kai content per month on your primary platform (TikTok, Instagram, or YouTube).

• "Unique content" means original posts/videos mentioning or featuring My Kai
• Content must include your affiliate link in bio/description
• If you fail to post 4 pieces of content in any given month, recurring commissions will be paused
• Commissions resume automatically when you return to posting 4+ pieces per month
• One-time commissions (initial conversions) are not affected by this requirement
• We reserve the right to verify content and may request proof of posting

6. PROHIBITED ACTIVITIES

You may NOT:

• Make false or misleading claims about My Kai
• Use your own affiliate link to purchase subscriptions (self-referrals)
• Encourage family/friends to sign up solely for your benefit
• Use incentivized traffic (paying people to sign up)
• Use bots, fake accounts, or fraudulent methods to generate referrals
• Engage in cookie stuffing or other deceptive tracking practices
• Violate app store policies or platform guidelines

7. CONTENT APPROVAL & VETTING

• All affiliates must be approved before receiving access to the program
• We review your social media profiles (TikTok, Instagram, YouTube) before approval
• We reserve the right to reject any application without explanation
• Approval does not guarantee acceptance of all promotional content

8. INTELLECTUAL PROPERTY

• You may use My Kai logos and approved marketing materials for promotional purposes only
• You do not gain any ownership rights to My Kai trademarks or intellectual property
• All materials must be used in accordance with our brand guidelines

9. TRACKING & ATTRIBUTION

• Commissions are tracked via your unique referral link
• Last-click attribution model (credit goes to the last affiliate link clicked)
• Cookies valid for 30 days from click

10. TERMINATION

We may terminate your affiliate account at any time for:

• Violation of these terms
• Fraudulent activity or suspicious referral patterns
• Inactivity for more than 180 days
• Damage to My Kai's brand or reputation
• Any illegal or unethical behavior

Upon termination:

• Pending commissions may be forfeited
• You must immediately cease using My Kai trademarks and materials
• Approved commissions will be paid out according to normal payment schedule

11. FRAUD DETECTION

• We actively monitor for fraud and suspicious activity
• Unusual patterns (high signups with no conversions, multiple accounts from same IP, immediate cancellations) will be investigated
• Fraudulent commissions will be reversed and may result in immediate termination and forfeiture of all pending commissions

12. REFUNDS & CHARGEBACKS

• If a referred user requests a refund or initiates a chargeback, the associated commission will be reversed
• You are responsible for commission reversals due to refunds

13. LIMITATION OF LIABILITY

• My Kai is not liable for any indirect, incidental, or consequential damages
• Maximum liability limited to unpaid commissions owed
• No guarantee of earnings or results

14. CONFIDENTIALITY

You may not disclose confidential information about the affiliate program, commission rates, or internal communications without permission.

15. MODIFICATIONS

• We reserve the right to modify commission rates, terms, or program structure with 30 days notice
• Continued participation after changes constitutes acceptance

16. GOVERNING LAW

These terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or the affiliate relationship shall be resolved in the state or federal courts located in Wyoming.

17. DISPUTE RESOLUTION

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Wyoming, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear their own costs of arbitration.
